Review of loan and financing agreements
Legal assessment of a financing arrangement goes beyond the interest rate or principal amount. It considers repayment obligations, conditions to drawdown, representations and warranties, events of default or acceleration, information covenants, security and the consequences a breach may have for the borrower, guarantor or business.
In corporate finance, the agreement should be assessed alongside the corporate structure, existing obligations and the project being financed. Experience in project finance, securities and corporate transactions allows banking terms to be connected with the wider legal structure of the transaction.
Banking security and property encumbrances
Financing is often supported by personal or real security. The office reviews guarantees, mortgage prenotations, mortgages, pledges or other security arrangements and the conditions under which they may be enforced or released. In property matters, banking security is linked with title and encumbrance review and with any registration, release or cancellation steps that may be required.
Debt restructuring and creditor negotiations
Where a debt can no longer be serviced under its original terms, legal work starts with establishing the claim and security, the stage of the creditor relationship and the realistic payment capacity. Negotiations may concern maturity extensions, revised payment structures, new security, restructuring of multiple obligations or other terms that need to be documented clearly.
The objective is not a temporary arrangement that merely postpones the problem, but a restructuring whose financial and legal consequences are understood. Where a statutory out-of-court restructuring mechanism may be available, the office assesses whether its requirements and process are relevant to the specific debtor.
Disputes with banks or other creditors
In a dispute, the agreement, disputed movements or charges, security, termination notices, asserted claims and procedural steps already taken are reviewed. Depending on the stage, negotiation, a formal out-of-court response, court challenge or parallel action concerning enforcement measures may be appropriate.
Banking law in corporate and property transactions
In a company acquisition, property investment or corporate transformation, financing should not be reviewed in isolation. Loan terms, existing security, priority of encumbrances and requirements for release or replacement of security may affect closing and the overall financial structure. The office coordinates banking issues with real-estate or corporate due diligence where required.
